OMF advises on merger of Air Alliance and Jetcall
OMF has provided legal and tax advice to the sole shareholder of the Jetcall Group on the merger of the Jetcall Group with the Air Alliance Group. The transaction was conducted partly by way of sale and partly by way of exchange of shares.
Air Alliance and Jetcall are two of the most renowned companies in the air medical sector, which have merged with the transaction to form a new company in the market for medically induced flights. The combined fleet ranges from Learjet 31 A for shorter ambulance flights to Challenger 604 for long-haul flights. The air ambulance business will in future be operated under the joint name Unicair. In addition to the air ambulance business, the Air Alliance Group also operates an aircraft trade and an airplane hangar. Since 2018, the majority shareholder of the Air Alliance Group has been a fund of DPE Deutsche Private Equity.
